Key terms and conditions

Collaboration with my clients is based on clear rules, so that both parties understand how the work is carried out and what to expect.

The terms on this page are a summary of my company’s contractual terms. The full terms and conditions are provided to the client together with the offer.

Formation of the agreement

An agreement is formed when a quote is accepted in writing or electronically, or when the client places an order and Luminia accepts it.

For small-scale tasks, no formal quote is issued and no formal purchase order is required. Instead, the assignment can be agreed flexibly with the client. However, these terms and conditions also apply to such assignments.

The agreement may be valid indefinitely, for a fixed term, or relate to a single assignment.

Pricing and invoicing

Work is charged according to the current price list or a separately agreed quotation.

Hourly work, fixed-price assignments, project management, and customer service are itemised either on the invoice or in a separate work report attached to it.

The payment term is 14 days unless otherwise agreed.

VAT is added to all prices.

Additional work not included in the quotation will be charged separately according to the price list.

For larger fixed-price projects, two rounds of revisions are included in each phase of the work. For smaller fixed-price assignments, two rounds of revisions are included for the entire project.

Delivery and timelines

The work will be delivered according to the agreed schedule.

The delivery time begins once all required materials have been provided to Luminia and any agreed advance payment has been made.

Additional work or changes may affect the delivery schedule.

The client must review the work and report any possible defects within 14 days of delivery.

Rights and materials

Luminia may transfer copyright, ownership rights, usage or publication rights, modification rights, or other rights to the client, either fully or partially.

Unless otherwise agreed, the copyright remains with Luminia.

The client will be provided with the final deliverables in the agreed format.

Work-in-progress materials and project files (such as original source files) are not included in the delivery unless otherwise agreed separately.

Technical support and maintenance

An assignment or agreement between Luminia and the client does not include technical support, maintenance, or further development work after the agreement has ended, unless otherwise agreed separately.

Liability and damages

The parties are liable for direct damages only in cases of intent or gross negligence.

Indirect or consequential damages are not compensated unless otherwise agreed.

In force majeure situations, both parties are released from liability.

Confidentiality and data protection

Confidential information will be kept strictly confidential, also after the termination of the agreement.

Personal data is processed in accordance with the GDPR legislation.

Termination of the agreement

An agreement valid until further notice may be terminated with a 14-day notice period.

Work performed will be invoiced up to the termination date of the agreement.
